Welcome to SiteSync AI. These Terms of Service ("Terms") govern your access to and use of our AI-powered construction plan analysis and building intelligence services (the "Service") operated by SiteSync AI ("we," "our," or "us").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access or use our Service.

These Terms constitute a legally binding agreement between you and SiteSync AI. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

SiteSync AI provides an AI-powered platform that analyzes construction plans, architectural drawings, structural drawings, and building specifications to identify discrepancies, missing information, conflicts, and compliance issues. Our Service includes:

• Identification of discrepancies and potential issues

• Generation of detailed analysis reports
• Related tools and features to support construction workflows

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Certain features of our Service require payment. By purchasing a subscription or using paid features, you agree to:

• Provide accurate billing and payment information
• Authorize us to charge your payment method for all applicable fees

Pricing: All prices are stated in U.S. dollars unless otherwise specified. We reserve the right to change our pricing at any time, with notice to existing subscribers.

Billing Cycle: Subscriptions are billed on a recurring basis (monthly or annually) as selected during registration. Fees are charged in advance for each billing period.

Refunds: We offer a satisfaction guarantee: if we find fewer than 5 issues in your project analysis, you are entitled to a full refund. Refund requests must be submitted within 30 days of the analysis completion.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will continue to have access to the Service until that time.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANALYSIS RESULTS

While we strive to provide accurate analysis results, our AI-powered Service may not identify all issues or may occasionally flag false positives. You are responsible for reviewing and verifying all analysis results before making any decisions based on them.

We do not guarantee that the Service will meet your specific requirements or that it will be available at all times. We are not responsible for any delays, failures, or interruptions in the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SITESYNC AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
• COSTS OF SUBSTITUTE SERVICES
• DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE THE SERVICE
• DAMAGES RESULTING FROM ERRORS OR OMISSIONS IN ANALYSIS RESULTS

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless SiteSync AI and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Any decisions or actions you take based on our analysis results

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Extended periods of account inactivity

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content, subject to our data retention policies
• All fees paid are non-refundable unless required by law

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
